Intel details Classiq deal: about $1.9 billion plus contingent payments

Up to $350 million in additional consideration depends on specified performance milestones

Intel disclosed the financial terms of its planned Classiq Technologies acquisition in the quarterly report filed on October 30. The agreement covers 100% of the company for approximately $1.9 billion, subject to customary purchase price adjustments.

It also provides for up to $350 million in contingent consideration if specified performance milestones are achieved. Intel can elect to settle the purchase price in cash or shares of its own common stock.

Closing is expected in the first half of 2027, subject to regulatory approvals and other customary conditions.

The companies announced the agreement on October 26. Intel plans to combine Classiq’s quantum algorithm synthesis platform with its silicon spin-qubit technology and software. After closing, it intends to continue supporting Classiq’s existing integrations across different hardware platforms.
